These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Dhruv International ("Company," "we," "us," "our"), governing your access to and use of the Jewell Master cloud-based ERP platform, its website at jewellmaster.com, and all associated modules, APIs, mobile applications, and services (collectively, the "Platform"). By registering, subscribing, or using the Platform in any manner, you confirm that you have read, understood, and irrevocably agreed to these Terms. If you do not agree, you must immediately cease all access and use.

1. About Jewell Master

Jewell Master is a purpose-built cloud ERP solution designed exclusively for the Indian jewellery industry. The Platform provides, among other capabilities:

• Billing and invoice generation with GST, making charges, and hallmarking details
• Fine stock management (gold, silver, platinum, stones) in weight-based tracking
• Karigar (artisan) management, job order creation, and wage computation
• Customer relationship management, purchase history, and KYC records
• Scheme management (gold saving schemes, instalment tracking)
• Reporting, audit trails, and MIS dashboards
• Jiya - AI-powered chatbot assistant for operational support
• Third-party integrations: payment gateways, SMS, Marketing tools, cloud hosting, and analytics

The Platform is intended solely for lawful business use by jewellery retailers, wholesalers, manufacturers, and affiliated enterprises.

2. Eligibility and Account Registration

You must be at least 18 years of age and legally competent to enter into binding contracts under the Indian Contract Act, 1872. If you are accessing the Platform on behalf of a business entity (proprietorship, partnership, private limited company, etc.), you represent and warrant that you have full legal authority to bind that entity to these Terms.

When registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information to keep it accurate
• Maintain the strict confidentiality of your login credentials and OTPs
• Not share account access with unauthorized individuals
• Notify us immediately at support@jewellmaster.com if you suspect unauthorized access

Jewell Master shall not be liable for any loss, damage, or breach arising from your failure to maintain credential security. You bear sole responsibility for all activities conducted under your account.

3. Subscription Plans and Payment

Jewell Master offers tiered subscription plans ("Starter," "Professional," "Enterprise," and custom plans) as published on the Website. By subscribing:

• You agree to pay all applicable fees at the rates prevailing at the time of purchase
• Subscriptions are activated immediately upon successful payment confirmation
• Fees are exclusive of GST unless stated otherwise; applicable GST shall be charged separately
• Auto-renewal subscriptions will renew at the then-current pricing unless cancelled prior to renewal date
• Pricing modifications will be communicated with a minimum of 7 days' advance notice via registered email
• Payment is processed through PCI-DSS-compliant third-party gateways; we do not store card details

Failure to pay applicable renewal fees may result in automatic downgrade or suspension of your account without further notice. Restoration of access is subject to clearance of all outstanding dues.

4. Acceptable Use Policy

You agree to use the Platform exclusively for lawful business purposes. You shall NOT:

• Enter false, fabricated, or fraudulent financial or transactional data into the Platform
• Attempt to reverse-engineer, decompile, or derive source code from any part of the Platform
• Upload or transmit viruses, malware, ransomware, or any disruptive code
• Attempt to gain unauthorized access to other users' accounts or data
• Use the Platform for money laundering, tax evasion, or any activity violating Indian laws
• Circumvent access controls, security features, or authentication mechanisms
• Scrape, harvest, or extract data from the Platform using automated tools
• Resell, sublicense, or commercially redistribute Platform access without written consent
• Use the Jiya AI assistant to generate or disseminate misleading financial advice

Any violation of this Acceptable Use Policy constitutes a material breach and may result in immediate account suspension, termination, and/or legal proceedings, at our sole discretion.

5. Data Ownership and Confidentiality

You retain full ownership of all business data, transaction records, customer information, and inventory data that you input into the Platform ("Your Data"). Jewell Master asserts no proprietary claim over Your Data.

By using the Platform, you grant Jewell Master a limited, non-exclusive, royalty-free license to access, store, process, and use Your Data solely for the purpose of operating and improving the Platform and providing services to you. This license terminates upon account closure, subject to legal retention obligations.

Jewell Master will treat Your Data as confidential and will not disclose it to third parties except:

• As required to operate the Platform (e.g., cloud hosting, backup providers)
• Where required by law, court order, or regulatory directive
• With your prior written consent

6. User Responsibilities - Compliance and Data Accuracy

Jewell Master is a software tool. It does not provide tax advice, legal advice, accounting advice, hallmarking guidance, or regulatory consultation. You are solely responsible for:

• The accuracy and legality of all data entered into the Platform
• Correct configuration of GST rates, HSN codes, making charges, and tax categories
• Compliance with BIS hallmarking requirements, PAN/Aadhaar regulations, and PMLA obligations
• Ensuring financial reports, GST returns, and invoices generated through the Platform are reviewed and verified before submission to regulatory authorities
• Compliance with SEBI, RBI, or other applicable regulations if your business involves bullion trading or financial services

Jewell Master's liability for errors in reports or invoices resulting from incorrect data entry or misconfiguration by users is expressly excluded.

7. Intellectual Property

All intellectual property in the Platform - including but not limited to software architecture, source code, UI design, logos, trademarks, domain names, documentation, AI models (including Jiya), and proprietary workflows - is owned exclusively by Dhruv International or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for your internal business operations during your active subscription term. This license does not include:

• The right to copy, reproduce, or create derivative works
• The right to reverse engineer or attempt to extract source code
• The right to use Jewell Master's branding or trademarks without prior written approval

8. Third-Party Integrations

The Platform integrates with third-party services including payment gateways, SMS providers, Marketing tool, cloud hosting (AWS/Azure), analytics tools, and communication APIs. While we select reliable partners, Jewell Master is not responsible for:

• Downtime, errors, or security incidents caused by third-party services
• Changes in third-party pricing or API availability that may affect Platform functionality
• Data handling practices of third-party vendors beyond our contractual agreements

Your use of integrated third-party services is also subject to their respective terms and privacy policies. We recommend reviewing them periodically.

9. AI Features - Jiya Chatbot

Jewell Master includes Jiya, an AI-powered chatbot assistant integrated into the Platform. By using Jiya, you acknowledge that:

• Responses generated by Jiya are for informational and operational assistance purposes only
• Jiya does not provide legally binding advice, tax opinions, or certified financial guidance
• AI outputs may occasionally be inaccurate or incomplete; always verify critical outputs independently
• Jewell Master is not liable for business decisions made based solely on Jiya's responses
• Conversations with Jiya may be reviewed by our team to improve AI accuracy and safety

10. Security and Data Protection

Jewell Master implements industry-standard security measures including:

• HTTPS/TLS encrypted data transmission
• Role-based access control (RBAC)
• Secure cloud hosting infrastructure
• Regular vulnerability assessments and monitoring
• Data backup mechanisms if required

However, no digital system is unconditionally secure. You acknowledge the inherent risks of internet-based systems. You are strongly encouraged to:

• Maintain independent offline backups of critical business data
• Use strong, unique passwords and enable two-factor authentication where available
• Promptly report suspected security incidents to support@jewellmaster.com

11. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, Jewell Master disclaims all warranties - express, implied, or statutory - including but not limited to:

• Implied warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted, error-free, or secure operation
• Accuracy or completeness of gold rate feeds, tax calculations, or financial reports
• Suitability of the Platform for all regulatory environments or business models

12. Limitation of Liability

To the maximum extent permitted by the laws of India, Jewell Master and Dhruv International shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including:

• Loss of business revenue, profits, or goodwill
• Data loss or corruption due to user action or system failure
• Regulatory penalties, GST demands, or audit liabilities arising from user-entered data
• Business interruption resulting from Platform downtime

In any event, our total cumulative liability to you for all claims arising under or related to these Terms shall not exceed the total subscription fees paid by you to Jewell Master in the three (3) calendar months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Dhruv International, (Jewell Master) and their respective directors, employees, agents, and affiliates from and against any claims, damages, liabilities, fines, penalties, or legal expenses arising out of:

• Your misuse of the Platform or violation of these Terms
• Incorrect, fraudulent, or unlawful data entered into the Platform
• Your breach of applicable laws, GST regulations, or industry compliance obligations
• Infringement of intellectual property or third-party rights by you

14. Suspension and Termination

Jewell Master reserves the right to suspend, downgrade, or permanently terminate your account with or without notice if:

• You breach any provision of these Terms
• Fraudulent, suspicious, or abusive activity is detected on your account
• Subscription fees remain unpaid beyond 7 days of due date
• Continued access poses a legal, security, or reputational risk to us
• Required by a court order, government directive, or regulatory authority

Upon termination, you may request a data export within 30 days. After this window, we may permanently delete Your Data in accordance with our data retention policies. Termination does not entitle you to any refund except as expressly provided in our Refund Policy.

15. Force Majeure

Jewell Master shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, government restrictions, war, civil unrest, cyber-attacks, epidemics, internet infrastructure failures, power outages, or actions of third-party service providers.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, claim, or controversy arising out of or relating to these Terms shall be:

• First attempted to be resolved through mutual good-faith negotiation within 30 days of written notice
• If unresolved, referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator mutually appointed
• Arbitration proceedings shall be conducted in the English language in Pune, Maharashtra
• Nothing herein prevents either party from seeking urgent injunctive relief from a competent court

The courts of Pune, Maharashtra shall have exclusive jurisdiction for matters not subject to arbitration.

17. Modifications to Terms

We reserve the right to revise these Terms at any time. Changes will be published on jewellmaster.com with an updated Effective Date and notified to registered users via email at least 7 days prior to taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree with changes, you must discontinue use before the effective date.

18. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

19. Entire Agreement

These Terms, together with the Privacy Policy, Disclaimer, and Return & Refund Policy published on jewellmaster.com, constitute the entire agreement between you and Jewell Master with respect to your use of the Platform and supersede all prior oral or written agreements.
