These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Dhruv International ("Company," "we," "us," "our"), governing your access to and use of the Jewell Master cloud-based ERP platform, its website at jewellmaster.com, and all associated modules, APIs, mobile applications, and services (collectively, the "Platform"). By registering, subscribing, or using the Platform in any manner, you confirm that you have read, understood, and irrevocably agreed to these Terms. If you do not agree, you must immediately cease all access and use.
Jewell Master is a purpose-built cloud ERP solution designed exclusively for the Indian jewellery industry. The Platform provides, among other capabilities:
The Platform is intended solely for lawful business use by jewellery retailers, wholesalers, manufacturers, and affiliated enterprises.
You must be at least 18 years of age and legally competent to enter into binding contracts under the Indian Contract Act, 1872. If you are accessing the Platform on behalf of a business entity (proprietorship, partnership, private limited company, etc.), you represent and warrant that you have full legal authority to bind that entity to these Terms.
When registering, you agree to:
Jewell Master shall not be liable for any loss, damage, or breach arising from your failure to maintain credential security. You bear sole responsibility for all activities conducted under your account.
Jewell Master offers tiered subscription plans ("Starter," "Professional," "Enterprise," and custom plans) as published on the Website. By subscribing:
Failure to pay applicable renewal fees may result in automatic downgrade or suspension of your account without further notice. Restoration of access is subject to clearance of all outstanding dues.
You agree to use the Platform exclusively for lawful business purposes. You shall NOT:
Any violation of this Acceptable Use Policy constitutes a material breach and may result in immediate account suspension, termination, and/or legal proceedings, at our sole discretion.
You retain full ownership of all business data, transaction records, customer information, and inventory data that you input into the Platform ("Your Data"). Jewell Master asserts no proprietary claim over Your Data.
By using the Platform, you grant Jewell Master a limited, non-exclusive, royalty-free license to access, store, process, and use Your Data solely for the purpose of operating and improving the Platform and providing services to you. This license terminates upon account closure, subject to legal retention obligations.
Jewell Master will treat Your Data as confidential and will not disclose it to third parties except:
Jewell Master is a software tool. It does not provide tax advice, legal advice, accounting advice, hallmarking guidance, or regulatory consultation. You are solely responsible for:
Jewell Master's liability for errors in reports or invoices resulting from incorrect data entry or misconfiguration by users is expressly excluded.
All intellectual property in the Platform - including but not limited to software architecture, source code, UI design, logos, trademarks, domain names, documentation, AI models (including Jiya), and proprietary workflows - is owned exclusively by Dhruv International or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for your internal business operations during your active subscription term. This license does not include:
The Platform integrates with third-party services including payment gateways, SMS providers, Marketing tool, cloud hosting (AWS/Azure), analytics tools, and communication APIs. While we select reliable partners, Jewell Master is not responsible for:
Your use of integrated third-party services is also subject to their respective terms and privacy policies. We recommend reviewing them periodically.
Jewell Master includes Jiya, an AI-powered chatbot assistant integrated into the Platform. By using Jiya, you acknowledge that:

To the maximum extent permitted by the laws of India, Jewell Master and Dhruv International shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including:
In any event, our total cumulative liability to you for all claims arising under or related to these Terms shall not exceed the total subscription fees paid by you to Jewell Master in the three (3) calendar months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Dhruv International, (Jewell Master) and their respective directors, employees, agents, and affiliates from and against any claims, damages, liabilities, fines, penalties, or legal expenses arising out of:
Jewell Master reserves the right to suspend, downgrade, or permanently terminate your account with or without notice if:
Upon termination, you may request a data export within 30 days. After this window, we may permanently delete Your Data in accordance with our data retention policies. Termination does not entitle you to any refund except as expressly provided in our Refund Policy.
Jewell Master shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, government restrictions, war, civil unrest, cyber-attacks, epidemics, internet infrastructure failures, power outages, or actions of third-party service providers.
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, claim, or controversy arising out of or relating to these Terms shall be:

We reserve the right to revise these Terms at any time. Changes will be published on jewellmaster.com with an updated Effective Date and notified to registered users via email at least 7 days prior to taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree with changes, you must discontinue use before the effective date.
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
These Terms, together with the Privacy Policy, Disclaimer, and Return & Refund Policy published on jewellmaster.com, constitute the entire agreement between you and Jewell Master with respect to your use of the Platform and supersede all prior oral or written agreements.
